    Those mortgage brokers who raise money from individual investors to fund mortgage loans would need to be licensed under the state securities laws with the Colorado Division of Securities. Please review the following information before you apply for a Colorado Securities Division Mortgage Broker-Dealer license.

    General information Regarding Mortgage Broker-Dealers

    (e) A mortgage broker-dealer whose business is limited exclusively to effecting transactions with financial institutions [as defined in section 11-51-201(6), C.R.S.] is exempt from the licensing requirements of section 11-51-401(1), C.R.S.

    11-51-201(6),(C.R.S.) Financial or institutional investor means any of the following whether acting for itself or others in a fiduciary capacity:

    (a) A depository institution;

    (b) An insurance company;

    (c) A separate account of an insurance company;

    (d) An investment company registered under the federal Investment Company Act of 1940 ;

    (e) A business development company as defined in the federal Investment Company Act of 1940 ;

    (f) Any private business development company as defined in the federal Investment Advisers Act of 1940 ;

    (g) An employee pension, profit-sharing, or benefit plan if the plan has total assets in excess of five million dollars or its investment decisions are made by a named fiduciary, as defined in the federal Employee Retirement Income Security Act of 1974, that is a broker-dealer registered under the federal Securities Exchange Act of 1934 , an investment adviser registered or exempt from registration under the federal Investment Advisers Act of 1940 , a depository institution, or an insurance company;

    (h) An entity, but not an individual, a substantial part of whose business activities consist of investing, purchasing, selling, or trading in securities of more than one issuer and not of its own issue and that has total assets in excess of five million dollars as of the end of its latest fiscal year;

    A mortgage broker-dealer whose business is not limited exclusively to placing mortgage loans with institutional investors is subject to the mortgage broker-dealer licensing requirements under the state securities laws. Therefore, a mortgage broker-dealer who raises money from individual investors to fund mortgage loans would need to be licensed under the state securities laws.

    When applying for a Mortgage Broker-Dealer and/or Sales Representative license(s), file the following at the Colorado Division of Securities, 1560 Broadway, Suite 900, Denver, CO 80202.

    Prior to joining Freedom Mortgage, Mr. Tatro held senior positions in CRE debt and equity portfolio management, debt capital markets, credit, and underwriting, at J.P. Morgan Investment Management, Merrill Lynch, RBS, and others; completing more than $30B in direct lending of senior and subordinate debt, borrowing as an equity holder, or restructuring and liquidation of distressed debt portfolios. Mr. Tatro’s primary responsibilities include oversight of the loan originations process and assisting in the structuring of transactions.

    Robert Quinn

    Vice President

    Mr. Quinn joined Freedom Mortgage in 2014 after spending three years as President of Empire Investment Advisors, a commercial real estate debt and equity advisory company. Prior to Empire, Mr. Quinn was Vice President with New York Life Investment Management, focused on private equity fund investments in high yield debt / preferred equity strategies.

    Before joining NYLIM, Mr. Quinn was a Senior Underwriter with Merrill Lynch Global Principal Investments and Merrill Lynch Mortgage Lending.

    Sarah Rallo

    Vice President

    Ms. Rallo joined Freedom Mortgage in September 2013 from Interactive Data, where she was a Fixed Income Portfolio Analyst. Prior to joining Interactive, Ms. Rallo was an Assistant Portfolio Manager at Vertical Capital, where she supported the Company’s investment management activities.

    In addition, Ms. Rallo worked in the Structured Finance Services division at Deutsche Bank and as a Traders’ Assistant on the Mortgage Repo desk at UBS.

    Roger Boone

    CRE Loan Originations

    Mr. Boone joined the Freedom Mortgage team in 2014 with over fifteen years of commercial real estate lending and capital markets experience. Prior to Freedom, Mr. Boone founded Gig Capital, an investment and consulting firm as well as held senior positions in Goldman Sachs’ commercial real estate lending platform, ultimately serving as co-head of Goldman Sachs Commercial Mortgage Capital.

    Mr. Boone’s experience includes marketing, underwriting, pricing, structuring, closing and ongoing surveillance of all types of commercial real estate transactions.

    Trent Brown

    CRE Loan Originations

    Mr. Brown joined Freedom Mortgage in 2014 with over 15 years’ industry experience in commercial real estate. Prior to joining Freedom Mortgage, Mr. Brown founded Brownstone Specialty Finance, a consulting firm that creates tailored financing solutions for real estate transactions. In addition, Mr. Brown managed the Midwest operations for Home National Bank and was responsible for loan origination and portfolio management.

    Mr. Brown’s experience includes capital markets, marketing, portfolio management, financial analysis, underwriting, structuring and pricing of all types of commercial real estate transactions.

    Roger Brown

    Mr. Brown joined Freedom Mortgage in 2014 with over 35 years’ industry experience in commercial real estate lending and origination. Mr. Brown also serves on the board of directors for Stimson Lumber Company, the sixth largest privately held timber holding company in the United States. Prior to joining Stimson, Mr. Brown served as Chairman and CEO of Home National Bank.

    Mr. Brown’s experience includes marketing, loan origination, portfolio management, underwriting, structuring, and pricing of all types of commercial real estate transactions.

    Brett Parker

    CRE Loan Originations

    Mr. Parker joined the Freedom Mortgage team in 2014 and has over 22 years of lending and capital markets experience. Mr. Parker was a Senior Credit Officer at Deutsche Bank responsible for commercial real estate lending and securitization and led MBIA Insurance Company’s commercial real estate activities.

    Mr. Parker’s experience includes analysis and underwriting of commercial real estate loans and securities.

    David Porcelli

    Senior Product Developer

    Mr. Porcelli joined Freedom Mortgage in 2014 after spending fourteen years at Taskstream, most recently as Director of Security, where he was responsible for all corporate security policies and procedures. Leading up to this responsibility, Mr. Porcelli also served in various capacities at Taskstream including Senior Developer and Live Site Team Leader.

    Mr. Porcelli’s focus at Freedom is the integration and management of all underwriting and due diligence processes, both internally and with third party service providers.

    Ross Aseron joined Freedom Mortgage’s Commercial Lending Division in 2014 with twenty years of IT experience in New York city’s private financial sector. During his tenure at companies like FGIC, CGA Investment, and Vertical Capital, Mr. Aseron has helped to manage companies through such IT signposts as the beginning of internet use, implementation of email, Y2K, and the current environment of high availability IT.

    His range of experience includes designing and teaching MS Office courses, building networks from out-of-the-box, and setting up disaster recovery facilities.
